Corporate governance

The Alliance Boots Board considers that good corporate governance is an essential element of achieving its overall objectives. The Group's 2007/2008 Annual Review and Consolidated Financial Statements have been published by Alliance Boots GmbH, a new Group holding company which was recently established in Switzerland.  The decision to locate the overall stewardship and governance of the Group in Switzerland was taken in order to enhance the position of Alliance Boots as a leading international pharmacy-led health and beauty group alongside a number of the world's leading pharmaceutical manufacturers.

The Board comprises the Executive Chairman, four other executive Directors, three Directors representing KKR and four non-executive Directors. The principal Board committees are the audit committee, remuneration committee and social responsibilities committee.
